Terms & Conditions
1. Accounts and sign-in
- You must be at least 18 and able to enter binding contracts.
- Sign-in uses one-time codes sent to your email address, or Google or Apple sign-in. You are responsible for keeping your email account secure and for all activity on your account. Tell us immediately if you believe your account has been accessed without permission.
- Keep your contact details current; auction outcomes and legal notices go to them.
- Dealer accounts may add users; the account owner is responsible for their users' actions.
2. Our role
Keel & Hull is a venue. We are not a party to any sale, we do not own, inspect or take possession of boats, we do not hold or transfer funds, and we do not act as broker, dealer, escrow or agent for anyone. Sellers and buyers deal with each other directly and are solely responsible for completing (or not completing) any transaction, including inspection, survey, sea trial, title, registration, taxes, payment and delivery.
3. Listings
- You may only list a boat you own or are legally authorised to sell. Descriptions, specifications, photos, hull identification numbers and prices must be accurate and not misleading. Photos must be of the actual boat.
- You must disclose material defects, liens, salvage or rebuilt titles and outstanding loans where known.
- We may edit, hide or remove any listing that appears inaccurate, duplicated, prohibited or in breach of these terms, with or without notice.
- Listing counts and photo limits depend on your plan.
3a. Best Offers and financing information
- A Best Offer, counter-offer or acceptance recorded on Keel & Hull expresses the parties' intent and is not a contract of sale. The sale is completed, and any deposit, survey, payment and title transfer handled, directly between buyer and seller under their own written agreement.
- Sellers must respond to offers in good faith and must not use counter-offers to solicit bids on an auction listing.
- Financing terms shown by a dealer are the dealer's statements, not ours. A financing request is a lead passed to the dealer; Keel & Hull is not a lender, loan broker or credit reporting agency, makes no credit decisions and gives no assurance that financing will be offered.
- AI-generated listing text is a draft prepared at the seller's request; the seller is responsible for its accuracy once published.
4. Auctions and bidding
- Bids are binding. By placing a bid you make an offer to buy the boat at that price. If the auction ends with you as high bidder and the reserve (if any) is met, you have entered a binding agreement with the seller to purchase at the hammer price, subject to any conditions stated in the listing.
- Maximum (proxy) bids. We place bids on your behalf up to your maximum using the published increments. Your maximum is never shown to other users.
- Reserve. A seller may set a reserve. If the reserve is not met when the auction ends there is no sale and neither party is obligated.
- Soft close. A bid placed within the final two minutes extends the auction by two minutes.
- Buy It Now. Where offered, Buy It Now ends the auction immediately at that price and is binding. It is withdrawn once the first bid is placed.
- Sellers must not bid on their own auctions directly or through others ("shill bidding"), must honour a reserve-met sale, and may cancel an auction before it ends only for good reason (for example the boat is damaged or sold elsewhere before the auction started). Repeated cancellations may result in suspension.
- Buyers who fail to complete a reserve-met purchase, and sellers who fail to deliver a sold boat, may be suspended and may be liable to the other party. We may share the parties' contact details and auction records to help resolve disputes, but we do not adjudicate them.
- Retracting bids. Bids cannot be retracted except where the listing was materially misdescribed. Contact us promptly.
- Payment and completion happen outside the Service between buyer and seller. We recommend written sales agreements, surveys, escrow services and documented title transfer. We provide no guarantee of payment, delivery, condition or title.
5. Plans and fees
- Private sellers may use the Service free within the stated limits. Dealer plans are monthly subscriptions billed in advance; prices are shown on the pricing page and may change with 30 days' notice.
- We do not charge commissions, success fees or "boat value" fees on sales made through the Service.
- Founding dealer offers are as described at sign-up. Subscriptions can be cancelled at any time and remain active until the end of the paid period. Fees are non-refundable except where required by law.
5a. API and webhooks
Dealer Pro accounts may use the API and webhooks for their own inventory, leads and reporting. Keys are confidential; you are responsible for what is done with them. We may rate-limit, suspend or change the API with reasonable notice, and you may not use it to scrape other sellers' listings, resell our data or build a competing marketplace.
6. Acceptable use
You agree not to: post false, infringing, defamatory or unlawful content; harvest or scrape data; interfere with the Service or its security; use bots to bid or request codes; impersonate others; send spam to users; circumvent our fees or limits; or use the Service for any illegal purpose, including money laundering or the sale of stolen vessels.
7. Content and licence
You keep ownership of the content you post. You grant us a worldwide, non-exclusive, royalty-free licence to host, display, reproduce, adapt (for example resize photos) and distribute it in connection with operating and promoting the Service, for as long as it is on the Service and for a reasonable period afterwards in backups. You confirm you have the rights to grant this licence. We may remove content that infringes others' rights; to report infringement, email us.
8. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE MAKE NO WARRANTY ABOUT THE ACCURACY OF LISTINGS, THE CONDUCT OF USERS, THE CONDITION OR TITLE OF ANY BOAT, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE. ANALYTICS AND VIEW COUNTS ARE ESTIMATES.
9. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, 3ANGLE CORP. AND ITS OFFICERS, EMPLOYEES AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE OR ANY TRANSACTION WITH ANOTHER USER. OUR TOTAL LIABILITY FOR ANY CLAIM IS LIMITED TO THE GREATER OF $100 OR THE FEES YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM. Some jurisdictions do not allow these limits; in that case they apply to the maximum extent permitted.
You agree to indemnify us against claims arising from your listings, bids, transactions or breach of these terms.
10. Termination
You may close your account at any time by contacting us. We may suspend or terminate accounts that breach these terms, create risk for other users, or have been inactive for a long period. Sections 2, 4, 7, 8, 9 and 11 survive termination.
11. Governing law and disputes
These terms are governed by the laws of the State of New York, without regard to conflict-of-law rules. Any dispute with us will be brought in the state or federal courts located in Nassau or Suffolk County, New York, and you consent to their jurisdiction. Disputes between buyers and sellers are between those parties.
12. Changes
We may update these terms. We'll post the new version here with a new effective date and notify account holders of material changes. Continued use after the effective date means you accept the changes.
